Commercial Service Terms & Conditions

These Commercial Service Terms & Conditions apply to all commercial cleaning services provided by Mr. Steam Carpet Care (“Mr. Steam,” “we,” “us,” or “our”). By approving an estimate, scheduling service, issuing a purchase order, authorizing work, or allowing work to begin, the customer agrees to these terms.
1. Estimates and Scope of Work
Estimates are based upon information available at the time they are prepared, including measurements, photographs, descriptions, site inspections, expected soil conditions, accessibility, and requested scope of work.
Final pricing may change if actual measurements differ from estimates, additional areas or services are requested, site conditions differ materially from those disclosed, excessive soil or contamination exists, or access restrictions affect production.
Only the services and areas specifically listed in the estimate are included.
2. Authorization
The customer represents that the individual approving services has authority to bind the business, property owner, management company, or organization receiving services.
Authorization may be provided through signed estimates, purchase orders, electronic acceptance, email, text message, verbal approval, deposit payment, or by permitting work to begin.
3. Site Access and Preparation
The customer is responsible for providing safe and timely access to service areas, utilities, loading areas, elevators, parking, access codes, and other reasonably necessary facilities.
Customers must disclose known hazards, security requirements, alarms, damaged surfaces, contamination, or unsafe conditions prior to service.
Areas that are inaccessible or inadequately prepared may be skipped, rescheduled, or subject to additional charges.
4. Furniture and Equipment
Standard service does not include moving heavy furniture, inventory, shelving, safes, medical equipment, machinery, computer systems, or other sensitive equipment unless specifically agreed in writing.
Light furniture may be moved when it can be done safely.
The customer remains responsible for disconnecting, reconnecting, protecting, and securing electronics and specialty equipment.
5. Cleaning Results and Existing Conditions
Cleaning results depend upon material type, age, maintenance history, installation quality, wear, contamination levels, and previous cleaning methods.
Cleaning is intended to improve appearance and hygiene but does not restore carpet, upholstery, or tile to new condition, and no guarantee of complete stain, odor, or soil removal is expressed or implied.
Cleaning may reveal pre-existing conditions that were previously concealed by soil.
6. Stains, Wicking, and Odors
Certain stains, odors, spills, and contamination may reappear after cleaning due to contamination remaining beneath the visible surface.
Wicking, browning, odor recurrence, and spot reappearance do not necessarily indicate improper cleaning.
Additional corrective work may require separate authorization and charges.
7. Dry Times and Wet Floors
Drying times vary based on humidity, airflow, temperature, material construction, and contamination levels.
No specific drying time is guaranteed.
The customer is responsible for restricting access and warning employees, tenants, customers, vendors, and visitors regarding wet conditions.
8. Delicate and Specialty Materials
Some materials require specialized cleaning methods or may not be suitable for cleaning due to age, condition, construction, or manufacturer limitations.
Mr. Steam reserves the right to decline or discontinue work when damage is likely or materials cannot be safely identified.
9. Inspection and Service Concerns
Customers should inspect completed work promptly.
Concerns regarding workmanship must be reported within five calendar days of service completion.
Mr. Steam must be given a reasonable opportunity to inspect and, when appropriate, attempt to correct any issue before another contractor performs corrective work.
10. Payment Terms
Unless otherwise agreed in writing:
- One-time commercial services are due upon completion.
- Approved accounts may receive Net 15 or Net 30 terms.
- Deposits may be required for larger projects or specialty work.
Invoices not paid when due may accrue interest at 1% per month or the maximum amount permitted by law, whichever is lower.
Customers are responsible for reasonable collection costs, court costs, filing fees, and attorney fees incurred while collecting overdue balances to the extent permitted by law.
11. Purchase Orders
Customers are responsible for obtaining any required purchase orders, approvals, or internal authorization before scheduling service.
Failure to complete internal approval processes does not eliminate payment obligations for authorized work.
12. Cancellation and Denied Access
Appointments cancelled or rescheduled with less than 24 hours notice may be subject to a cancellation fee.
Additional charges may apply when technicians arrive but cannot perform work due to denied access, occupied work areas, utility interruptions, obstructions, or unsafe conditions.
13. After-Hours and Specialty Scheduling
Additional charges may apply for:
- Night service
- Weekend service
- Holiday service
- Restricted service windows
- Security requirements
- Parking fees
- Multiple mobilizations
- Special compliance requirements
14. Safety and Right to Stop Work
Mr. Steam may refuse, delay, or discontinue work when conditions are unsafe or unsuitable.
Examples include hazardous materials, biohazards, unsafe electrical conditions, aggressive animals, threatening behavior, structural hazards, or undisclosed contamination.
15. Insurance
Mr. Steam maintains commercially reasonable general liability insurance coverage appropriate for its operations.
Certificates of insurance may be provided upon reasonable request.
Requests for additional insured status, waivers of subrogation, or other special insurance requirements must be disclosed prior to scheduling and may result in additional charges.
16. Limitation of Liability
To the fullest extent permitted by law, Mr. Steam's total liability for any claim arising out of or related to services provided shall not exceed the amount paid by the customer for the specific services giving rise to the claim.
Mr. Steam shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages including lost profits, loss of business income, loss of inventory, business interruption, loss of use, loss of contracts, or loss of data.
Nothing in these terms limits liability that cannot legally be limited under applicable law.
17. Customer Indemnification
The customer agrees to indemnify, defend, and hold harmless Mr. Steam and its owners, employees, assistants, and subcontractors from claims, damages, liabilities, costs, and expenses arising from:
- Inaccurate or incomplete information provided by the customer.
- Undisclosed hazards or unsafe conditions.
- Failure to disclose known defects or contamination.
- Failure to restrict access to wet floors or work areas.
- Actions of occupants, employees, visitors, contractors, or third parties not under Mr. Steam's control.
18. Warranty Disclaimer
Except as expressly stated in writing, services are provided on an “as is” basis.
Mr. Steam disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and guarantees of complete stain, odor, or soil removal, to the fullest extent permitted by law.
No verbal statement, estimate, recommendation, or prior service history creates a warranty unless expressly agreed to in writing.
19. Employees and Subcontractors
Mr. Steam may utilize employees, assistants, temporary labor, subcontractors, or independent contractors to perform some or all services.
Mr. Steam remains responsible for completion of the contracted work.
20. Documentation and Photography
Mr. Steam may photograph service areas before, during, and after service for documentation, quality control, insurance, and dispute resolution purposes.
Reasonable efforts will be made to avoid capturing confidential information, sensitive documents, computer screens, or personally identifying information whenever practical.
Photographs will not intentionally be used for marketing purposes without permission.
21. Delays Outside Our Control
Mr. Steam is not responsible for delays caused by severe weather, road closures, utility failures, illness, equipment failures, supply shortages, government restrictions, building closures, or circumstances beyond reasonable control.
22. Independent Contractor Status
Mr. Steam operates as an independent contractor and is not an employee, partner, or agent of the customer.
23. Governing Law and Venue
These terms are governed by the laws of the State of Utah.
Any legal proceeding arising from services provided shall be brought in a court of competent jurisdiction serving Weber County, Utah, unless otherwise required by law.
24. Severability
If any provision of these terms is found unenforceable, the remaining provisions shall remain in effect.
25. Entire Agreement
These terms, together with any estimate, invoice, work order, or written service agreement, constitute the entire agreement between the parties regarding the services provided.
